Emerger is committed to conducting business with integrity, honesty and respect. This Code sets out the standards expected of all employees, contractors and representatives.
1. Introduction
Emerger.ai (“Emerger”) is committed to conducting its business with integrity, honesty and respect for all individuals and organisations with whom it interacts. This Code of Conduct (“Code”) sets out the standards of behaviour expected of Emerger employees, contractors, and any individual acting on behalf of Emerger in connection with its business activities.
This Code reflects our commitment to building an organisation that operates ethically, respects the rights and dignity of all individuals, and maintains the trust of our customers, partners and the communities in which we operate.
All Emerger employees, contractors, and representatives are expected to read, understand and comply with this Code. Leaders and managers are also expected to model the standards of behaviour set out here and to create an environment in which colleagues feel able to raise concerns without fear of retaliation.
This Code does not cover every possible situation. When you encounter a situation not directly addressed here, you should apply the underlying principles and seek guidance from leadership if you are uncertain about the appropriate course of action.
2. Professional Standards
Emerger expects all employees and representatives to maintain high standards of professional conduct in all their dealings on behalf of the company. This includes:
Acting with honesty and integrity in all communications and business dealings.
Representing Emerger’s capabilities, products and services accurately and without exaggeration or misrepresentation.
Treating customers, partners, suppliers and colleagues with professionalism, courtesy and respect.
Delivering work to the standard expected and agreed, and communicating proactively when circumstances affect your ability to meet commitments.
Taking responsibility for your actions and their consequences.
Maintaining the confidentiality of customer, company and colleague information.
Complying with all applicable laws, regulations and Emerger policies in the conduct of your work.
Protecting and responsible use of Emerger resources, systems and assets.
3. Conflicts of Interest
A conflict of interest arises when your personal interests — or the interests of people or organisations close to you — could interfere with, or appear to interfere with, your ability to act in the best interests of Emerger and its customers.
You must disclose any actual or potential conflict of interest to Emerger leadership promptly. This includes, but is not limited to:
Holding a financial interest in, or a role with, an organisation that is a competitor, customer, supplier or potential business partner of Emerger.
Using Emerger information, relationships or resources for personal gain or for the benefit of third parties outside of your work for Emerger.
Accepting gifts, hospitality or other benefits from customers, suppliers or business partners beyond what is reasonable and customary in a professional context. Any gifts or hospitality of significant value should be disclosed and approved.
Participating in decision-making processes where you have a personal interest in the outcome.
Where you are uncertain whether a situation constitutes a conflict of interest, you should seek guidance from leadership before proceeding.
4. Confidentiality and Data Protection
Emerger handles significant amounts of confidential information, including customer operational data, business strategy, platform technical details and personnel information. All employees and representatives have an obligation to protect confidential information and to use it only for legitimate business purposes.
Confidential information must not be disclosed to third parties without proper authorisation, and must not be used for personal benefit or in any way that could harm Emerger or its customers.
You must comply with Emerger’s Privacy Policy and applicable data protection law when handling personal information about customers, colleagues or other individuals. This includes:
Collecting and using personal information only for legitimate purposes and in compliance with applicable law.
Keeping personal information secure and not sharing it outside of authorised channels.
Reporting any suspected data breach or security incident immediately to Emerger leadership.
Handling customer data with particular care, recognising that customers place significant trust in Emerger when they share operational information through the platform.
Your obligations regarding confidentiality and data protection continue beyond the end of your engagement with Emerger.
5. Respect and Inclusion
Emerger is committed to creating and maintaining a work environment that is respectful, inclusive and free from discrimination, harassment and intimidation. All employees, contractors and representatives have the right to work in an environment that treats them with dignity and respect.
We do not tolerate discrimination, harassment, bullying or any other conduct that creates a hostile or unwelcoming environment, whether based on gender, race, nationality, ethnicity, religion or belief, disability, age, sexual orientation, gender identity, or any other characteristic.
This commitment to respect and inclusion extends to all aspects of our work — including interactions with colleagues, customers, partners and suppliers, whether in person, on video, or through digital communication.
If you experience or witness conduct that you believe is disrespectful, discriminatory or harassing, you are encouraged to report it through the mechanisms described in Section 8 of this Code. Emerger will investigate all reports promptly and take appropriate action.
Emerger is committed to equal opportunity in employment and to creating an environment where all employees can contribute and develop without facing artificial barriers.
6. Anti-Bribery and Corruption
Emerger prohibits bribery and corruption in all its forms. You must not offer, give, request or accept any bribe, kickback or improper payment or benefit in connection with your work for Emerger or in connection with Emerger’s business.
This prohibition applies to dealings with both private sector and public sector parties, and includes direct bribes and payments made through third parties.
You must not make facilitating payments — payments made to secure or speed up routine government or administrative processes — on behalf of Emerger.
Legitimate business hospitality and reasonable gifts are acceptable where they are:
Not offered or received with the intention of influencing a business decision.
Consistent with Emerger’s policies and reasonable in the business context.
Transparently disclosed and approved where required.
Compliant with applicable law.
If you are ever offered a bribe or asked to make an improper payment, you must refuse and report the situation to Emerger leadership immediately. Failure to report an approach is itself a breach of this Code.
Emerger complies with applicable anti-bribery and anti-corruption laws in all jurisdictions in which it operates.
7. Compliance and Legal Obligations
All Emerger employees, contractors and representatives must comply with applicable laws, regulations, and legal obligations in all aspects of their work. This includes but is not limited to laws relating to:
Data protection and privacy.
Intellectual property.
Anti-bribery and anti-corruption.
Competition and fair trading.
Export controls and sanctions.
Employment and workplace health and safety.
If you become aware that Emerger or any employee or representative may be violating applicable law, you must report this through the mechanisms described in Section 8 of this Code.
Emerger does not retaliate against any individual who, in good faith, reports a concern about potential legal non-compliance. Retaliation against a good-faith reporter is itself a serious breach of this Code.
Where Emerger’s internal policies conflict with applicable law, the requirements of law take precedence.
8. Responsible Use of the Platform
Where your work for or with Emerger involves access to the Emerger platform, you are responsible for using the platform in accordance with Emerger’s Terms and Conditions, applicable customer agreements, and applicable law.
Authorised users of the Emerger platform must not:
Access any part of the platform for which they are not authorised.
Use the platform to process data for purposes other than legitimate logistics management.
Share account credentials or allow others to use their platform account.
Attempt to bypass or circumvent platform security controls.
Use the platform to store or transmit unlawful, harmful or offensive content.
Emerger’s Multi Factor Authentication is available on the Premium Plan to support enterprise security requirements. Users should enable available security features to protect their accounts and the data processed within the platform.
9. Reporting Concerns
Emerger is committed to maintaining a culture in which employees and representatives feel confident and supported in raising concerns about conduct that may breach this Code, violate applicable law, or otherwise be contrary to Emerger’s values and commitments.
If you have a concern, you are encouraged to:
Raise it with your direct manager or another senior member of the Emerger team.
Report it through Emerger’s contact channels if you prefer not to raise it directly with a colleague.
All concerns will be taken seriously and investigated appropriately. Emerger will maintain the confidentiality of reports to the greatest extent possible and will protect those who raise concerns in good faith from retaliation.
Making a report in good faith — even if the concern ultimately proves unfounded — will not result in any adverse action against you. However, knowingly making a false report in bad faith may itself constitute a breach of this Code.
Where a concern relates to suspected illegal activity, you may also have the right to report it to appropriate regulatory authorities.
10. Consequences of Non-Compliance
Breaches of this Code are taken seriously by Emerger. The consequences of a breach will depend on its nature and severity, but may include:
Formal warnings or disciplinary action.
Termination of employment or engagement.
Legal action where the breach involves unlawful conduct.
Notification of relevant regulatory authorities where required or appropriate.
Emerger will investigate all reported breaches of this Code promptly and fairly. All individuals involved in an investigation will be treated with dignity and respect, and investigations will be conducted confidentially to the greatest extent possible.
Leaders and managers who fail to take appropriate action when they become aware of a breach of this Code may themselves be subject to disciplinary action.
11. Updates to This Code
Emerger reviews and updates this Code of Conduct periodically to reflect changes in our business, applicable law, and industry best practices. The most recent version of this Code will always be available on the Emerger website.
All employees, contractors and representatives are expected to familiarise themselves with the current version of this Code and to comply with it. When this Code is updated, Emerger will communicate relevant changes to all affected individuals.
